1. Parties and Scope
These Terms of Service govern the legal relationship between
Faruk Şener Consulting ("Company"), the operator of the
BAYİDEA platform ("Platform"), and the individuals or entities
using the platform ("User").
By registering on the platform or using its services, you are deemed to have
accepted these terms. If you do not accept these terms, please do not use the platform.
2. Service Description
BAYİDEA is a SaaS platform offering the following services:
- Dealer Management Maturity Model: An assessment tool consisting of 113 questions across 12 categories, measuring the maturity level of a dealer management system
- Reporting: Assessment results in PDF and Excel formats
- Benchmark: Anonymous sector-wide comparison data
The platform is not a consulting service. The assessment results provided are for
informational purposes. We recommend seeking expert consulting advice for business decisions.
3. Account and Membership
- A valid email address and company information are required to register on the platform
- You are responsible for the accuracy and security of your account information
- Do not share your password with anyone; you are responsible for all activities on your account
- Membership approval is at the Company's discretion; the Company may reject membership requests without giving reasons
- Corporate licenses may not be transferred to other individuals
4. Payment and Refund Policy
- Service fees are collected through iyzico's payment infrastructure
- License fees are one-time payments and are non-refundable
- Your assessment credits are determined according to the package you purchase
- Prices are displayed inclusive of applicable taxes
- Existing users will be notified in advance of any price changes
Purchased licenses and assessment credits are non-refundable. If you are unable to
use the service due to a technical issue, please contact the Company.
5. User Obligations
The User agrees to the following obligations:
- Access the platform only for legitimate commercial purposes
- Not use the system with automated tools or bots
- Not attempt unauthorized access to other users' accounts
- Refrain from actions that could damage the platform infrastructure
- Not enter false or misleading information
- Respect intellectual property rights
6. Intellectual Property Rights
The BAYİDEA platform, the Dealer Management Maturity Model methodology, question sets,
algorithms, design and content are the intellectual property of Faruk Şener Consulting.
Users may freely use assessment reports for their own internal purposes.
However, the methodology, question sets or platform content may not be reproduced,
distributed or used commercially without permission.
7. Service Continuity and Limitation of Liability
- The platform targets 99% availability but uninterrupted service is not guaranteed
- Planned maintenance will be announced in advance
- The Company cannot be held liable for damages arising from the User's business decisions
- The Company's liability is limited to the license fee paid by the User
8. Account Termination
- Users may request account closure at any time
- The Company may suspend or close accounts that violate these terms without prior notice
- After account closure, data will be retained for the periods specified under applicable law
9. Amendments
The Company reserves the right to modify these terms at any time.
Changes will be announced through the platform. Continued use of the platform
after the effective date of changes constitutes acceptance of the new terms.
10. Governing Law and Jurisdiction
This agreement is governed by the laws of the Republic of Turkey.
In the event of any dispute, the courts and enforcement offices of
Istanbul shall have jurisdiction.
